Contractor & Service Liability Terms

These Contractor & Service Liability Terms (“Service Terms”) govern all services scheduled, arranged, or performed through Eternal Green Landscaping, including through the Eternal Green mobile application, website, or direct agreements (collectively, the “Services”).

By requesting, scheduling, or accepting Services, you (“Customer”) agree to these Service Terms.


1. Nature of Services & Platform Role

Eternal Green provides scheduling, coordination, and performance of landscaping, lawn care, snow removal, and related property services.

Services may be performed by:

  • Eternal Green personnel, and/or

  • Independent contractors or subcontractors

Eternal Green acts as a service provider and coordinator. Certain services may be fulfilled by third-party contractors operating under separate agreements.


2. Independent Contractors & Subcontractors

To the fullest extent permitted by law:

  • Contractors are independent service providers

  • They are not employees of the Customer

  • Eternal Green is not liable for acts, omissions, negligence, or misconduct of independent contractors beyond applicable legal requirements

Eternal Green maintains screening and standards but does not supervise every aspect of contractor operations.


3. Assumption of Risk

Customer acknowledges that property maintenance services inherently involve risks, including but not limited to:

  • Equipment operation

  • Surface disturbance

  • Snow and ice conditions

  • Debris displacement

  • Property wear

Customer assumes all ordinary risks associated with property maintenance activities.


4. Property Conditions & Hazard Disclosure

Customer must disclose all known hazards prior to service, including:

  • Underground utilities

  • Sprinkler systems

  • Electrical or communication lines

  • Landscaping features

  • Decorative items

  • Structural weaknesses

  • Uneven terrain

Eternal Green shall not be liable for damage resulting from undisclosed, concealed, or unknown hazards.


5. Access & Site Preparation

Customer agrees to:

  • Provide unobstructed access

  • Remove vehicles, equipment, and personal items

  • Secure pets

  • Identify sensitive areas

Failure to prepare the site may result in incomplete service without liability to Eternal Green.


6. Snow & Ice Liability Disclaimer

Snow and ice services reduce hazards but cannot guarantee complete removal of dangerous conditions.

Customer acknowledges:

  • Ice may form after service

  • Refreezing may occur

  • Weather conditions change unpredictably

  • Slippery areas may remain

Eternal Green shall not be liable for injuries, accidents, or damages caused by natural accumulation of snow or ice before, during, or after service.


7. Equipment & Surface Damage

Use of commercial equipment may cause surface impact under certain conditions.

Eternal Green is not liable for:

  • Damage due to soft ground

  • Freeze-thaw conditions

  • Subsurface instability

  • Pre-existing structural issues


8. Limitation of Liability

To the maximum extent permitted by law:

Eternal Green’s total liability for any claim arising from Services shall not exceed the amount paid by the Customer for the specific service giving rise to the claim.

Eternal Green shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Loss of use

  • Business losses

  • Personal inconvenience


9. Indemnification

Customer agrees to indemnify, defend, and hold harmless Eternal Green, its officers, employees, and contractors from claims arising from:

  • Unsafe property conditions

  • Failure to disclose hazards

  • Customer negligence

  • Third-party claims related to the property


10. Force Majeure

Eternal Green shall not be liable for delays or failures caused by events beyond reasonable control, including:

  • Severe weather

  • Natural disasters

  • Government restrictions

  • Equipment failure

  • Labor shortages


11. Insurance

Eternal Green maintains commercial liability insurance. Coverage is subject to policy limitations and exclusions.

Independent contractors may maintain their own insurance.


12. Claims & Notice

Customer must report any alleged damage within:

⭐ 48 hours of service completion

Failure to provide timely notice waives the claim to the extent permitted by law.


13. Governing Law

These Service Terms are governed by the laws of the Province of Ontario and the laws of Canada.


14. Acceptance of Terms

Use of the Services constitutes acceptance of these Service Terms.
